Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Hyggex Digital Services Private Limited ("Adaptmate", "Company", "we", "our", "us") governing your access to and use of the Adaptmate platform and related services ("Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Definitions

• "Institution" means any school, educational trust, or organisation subscribing to our Service.
• "Authorised User" means teachers, administrators, directors, students, and parents granted access by the Institution.
• "Content" means any data, text, curriculum, assessments, or materials uploaded, generated, or processed through the Service.
• "AI Outputs" means lesson plans, analytics, recommendations, or insights generated by our AI systems.

2. Eligibility & Account Registration

• The Service is available only to registered educational institutions and their authorised users.
• You must be 18 years or older to create an administrative account. Student accounts are managed by the Institution.
• You are responsible for maintaining the confidentiality of your login credentials.
• You must provide accurate and current registration information.

3. Scope of Service

Adaptmate provides:

• Learning intelligence and analytics dashboards
• Curriculum mapping and gap diagnostics
• AI-powered lesson planning and personalised homework generation
• Student progress tracking and engagement signals
• School-wide analytics and reporting
• Administrative tools (attendance, assessments, reporting)

4. Acceptable Use Policy

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law
• Attempt to reverse engineer, decompile, or extract source code from the Service
• Share login credentials with unauthorised individuals
• Upload harmful, offensive, or misleading content
• Interfere with or disrupt the Service's infrastructure or security
• Use automated bots, scrapers, or crawlers to access the Service
• Circumvent access controls or authentication mechanisms

5. Intellectual Property

• All platform software, algorithms, interfaces, documentation, and branding are the exclusive property of Hyggex Digital Services Pvt Ltd.
• Content uploaded by the Institution remains the property of the Institution.
• AI Outputs generated by Adaptmate are provided as tools to support educator decision-making. Final academic decisions remain the responsibility of the Institution.
• You may not copy, modify, distribute, or create derivative works of any part of the Service without prior written consent.

6. AI-Generated Content Disclaimer

Adaptmate uses artificial intelligence to generate lesson plans, analytics, and recommendations. These outputs are assistive tools designed to support — not replace — professional educational judgment. We do not guarantee the accuracy, completeness, or suitability of AI-generated outputs for any specific educational context.

The Institution and its educators are solely responsible for reviewing and approving all AI-generated content before using it with students.

7. Subscription & Payments

• Access to the Service requires a valid subscription as per the agreed pricing plan.
• All fees are quoted in Indian Rupees (INR) unless otherwise stated, and are exclusive of applicable taxes (GST).
• Payment terms are as specified in the subscription agreement or invoice.
• Late payments may result in suspension of access. We will provide 15 days' written notice before any suspension.
• Refunds are governed by the terms of the subscription agreement.

8. Data Ownership & Portability

• The Institution retains full ownership of all data uploaded to the platform.
• Upon termination, the Institution may request a full data export in a standard, machine-readable format within 30 days.
• After the export period, all identifiable data will be permanently deleted within 90 days.

9. Service Availability & SLA

• We target 99.5% uptime for the Service, excluding scheduled maintenance.
• Scheduled maintenance will be communicated at least 48 hours in advance.
• We are not liable for downtime caused by force majeure, third-party service failures, or events beyond our reasonable control.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Adaptmate and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or business opportunities, arising from or related to your use of the Service.

Our total liability under these Terms shall not exceed the fees paid by the Institution in the 12 months preceding the claim.

11. Indemnification

The Institution agrees to indemnify and hold harmless Adaptmate, its officers, directors, and employees from any claims, damages, or expenses arising from (a) the Institution's use of the Service, (b) violation of these Terms, or (c) infringement of any third-party rights.

12. Termination

• Either party may terminate the subscription with 30 days' written notice.
• We may suspend or terminate access immediately for material breach of these Terms.
• Upon termination, access will be revoked and data will be handled per Section 8.

13. Governing Law & Dispute Resolution

• These Terms shall be governed by the laws of India.
• Any dispute shall first be attempted to be resolved through good-faith negotiation.
• If negotiations fail, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in New Delhi, India.
• The courts of New Delhi shall have exclusive jurisdiction for any matters not subject to arbitration.

14. Amendments

We reserve the right to modify these Terms. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance.
